Terms of Service for Quantum Assist

These Terms of Service (“Terms”) govern your access to and use of our website, products, and AI assistant services (“Services”). By purchasing, subscribing to, or using our Services, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not use our Services.
1. About Quantum Assist
Quantum Assist provides AI-powered office assistant solutions designed to help small businesses automate administrative tasks, improve workflows, and scale operations.
Our Services may include custom AI assistants, integration setup, data processing, and ongoing support or optimization.
2. Eligibility
To use Quantum Assist’s Services, you must:
Be at least 18 years old, or the legal age of majority in your region.
Be an authorized representative of your business (if registering on behalf of a company).
Provide accurate, complete, and up-to-date information during registration or onboarding.
3. Use of Services
By using our Services, you agree to:
Use the Services only for lawful business purposes.
Not misuse, reverse-engineer, or attempt to extract proprietary components of our AI systems.
Not use our Services to engage in spam, fraud, harassment, or activities that violate applicable laws.
Maintain the confidentiality of your login credentials and any sensitive business information shared through our systems.
Quantum Assist reserves the right to suspend or terminate Services if we detect misuse, security risks, or policy violations.
4. AI Assistant Functionality and Limitations
Our AI office assistants are designed to automate business processes, such as responding to inquiries, scheduling, task management, or data handling.
While our AI systems are built to be accurate and efficient, you acknowledge that AI outputs may occasionally contain errors or omissions, and human oversight is recommended for critical business decisions.
Quantum Assist is not liable for any loss, damage, or misunderstanding resulting from reliance on AI-generated content or actions taken by your assistant.
5. Data Usage and Privacy
Your privacy and data protection are important to us.
Data collected through our Services is handled in accordance with our Privacy Policy, effective 4 November 2025.
We may process business and operational data to deliver and improve your AI assistant’s performance.
We may collect your ABN or ACN, business contact details, and operational data necessary to perform automation tasks.
You maintain ownership of all business data submitted through our Services. Quantum Assist retains ownership of its software, models, and related technologies.

6. Payment and Billing
Fees for our Services are outlined in your service agreement or invoice.
Payments are due according to the billing terms agreed upon before project commencement or subscription start.
Late or failed payments may result in service suspension or termination.
All prices are listed in AUD (Australian Dollars) unless otherwise stated.
Refunds may be granted at Quantum Assist’s discretion and in accordance with Australian Consumer Law.
7. Intellectual Property
All intellectual property rights in Quantum Assist’s Services—including AI models, software, content, designs, and branding—remain the sole property of Quantum Assist.
You are granted a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes only.
You may not copy, modify, distribute, or resell any part of our software or intellectual property without prior written consent.
8. Confidentiality
Both parties agree to treat all non-public business, technical, or operational information exchanged during the course of service as confidential.
Neither party shall disclose such information to any third party without written permission, except where required by law.
9. Service Availability and Updates
Quantum Assist strives to provide reliable and secure services but does not guarantee uninterrupted or error-free performance.
We may update, modify, or temporarily suspend parts of our Services for maintenance, improvement, or compliance reasons.
Where possible, we will provide advance notice of any significant service disruptions.
10. Limitation of Liability
To the maximum extent permitted by law:
Quantum Assist and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our Services.
Our total liability for any claim related to these Terms or the Services shall not exceed the amount paid by you to Quantum Assist in the 3 months preceding the claim.
You acknowledge that AI automation may involve inherent risks, and you assume responsibility for verifying AI outputs before taking action based on them.
11. Termination
Either party may terminate services with written notice if the other party breaches these Terms or any agreed service contract.
Upon termination:
All unpaid fees become immediately due.
Your access to our systems or AI assistant may be disabled.
Certain data may be retained as required by law or for legitimate business purposes.
12. Third-Party Integrations
Some Quantum Assist AI assistants may integrate with third-party software (e.g., Google Workspace, Slack, or CRMs).
By enabling these integrations, you grant permission for Quantum Assist to access and process data within those systems to provide automation.
We are not responsible for the privacy practices or reliability of third-party platforms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
Any disputes shall be resolved through negotiation or, if necessary, in the competent courts of New South Wales.
14. Amendments
Quantum Assist may update these Terms periodically to reflect service improvements, legal requirements, or policy changes.
When significant updates occur, we will notify clients via email or post a notice on our website. The updated Terms become effective upon publication.
